Terms of Service

These Terms of Service ("Terms") govern your access to and use of aparamethod.com(the "Site") and the APARA Founder's Circle membership, tools, and content (together, the "Services"), operated by TLP Solutions LLC, an Illinois limited liability company doing business as APARA Method ("APARA," "we," "us," or "our").

By accessing the Site, creating an account, or purchasing a membership, you agree to these Terms. If you do not agree, do not use the Services.

1. Who may use the Services

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase a membership. By using the Services, you represent that you meet this requirement and that the information you provide to us is accurate and complete.

2. Accounts and access

Some Services require an account or invite code. You are responsible for:

• Keeping your credentials confidential;
• All activity that occurs under your account;
• Notifying us promptly at admin@aparamethod.com if you suspect unauthorized access.

Memberships are personal and non-transferable. You may not share credentials, resell access, or use a single membership for multiple individuals.

3. Payment, renewal, and taxes

Paid Services are billed through Stripe. By purchasing, you authorize us (via Stripe) to charge the payment method you provide for the fees, taxes, and recurring charges associated with your membership. Prices are in U.S. dollars unless stated otherwise.

If your membership is recurring, it will automatically renew at the then-current rate until canceled. You can cancel at any time from your account or by emailing hello@aparamethod.com. See the Refund Policy for the conditions under which refunds are issued.

4. License to use the Services

Subject to your compliance with these Terms and payment of applicable fees, APARA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

All content provided through the Services — including written materials, templates, prompts, skills, code, vault files, diagrams, videos, and branding (the "APARA Content") — is owned by APARA or its licensors and is protected by copyright, trademark, and other intellectual-property laws. 5. Acceptable use

You agree not to:

• Copy, resell, redistribute, sublicense, or publicly share APARA Content, tools, or vault files, in whole or part, without prior written permission;
• Scrape, reverse-engineer, or extract training data from the Site or tools for the purpose of building a competing product or AI model;
• Use the Services to violate any law, infringe rights of others, or transmit unlawful, harmful, or deceptive content;
• Interfere with the Services, probe or test their vulnerabilities, or bypass access controls, rate limits, or authentication;
• Use the Services to build automated systems that make a substantially similar tool available to third parties.

6. User content and submissions

Some tools accept text you paste in (ideas, journal entries, decisions, etc.). That content remains yours. By submitting it you grant APARA a limited license to process it in order to operate the Services (for example, to route it through our AI provider and return a response).

We do not sell your submissions and, except where a tool explicitly stores data (such as Mirror Journal entries saved in your browser), we do not retain tool input after your session ends. See our Privacy Policy for details.

7. AI-generated output

APARA tools use third-party AI models (including the Anthropic Claude API). AI output can be inaccurate, incomplete, or biased. It is provided for informational and self-reflection purposes only and is not legal, medical, financial, therapeutic, or other professional advice. You are responsible for reviewing output before acting on it.

You may use AI output produced for you through the Services for your personal or internal business purposes. You may not represent it as APARA's official advice or publish it as APARA-authored work.

8. Third-party services

The Services integrate with third-party providers including Stripe (payments), Anthropic (AI), Vercel (hosting), and Kit (email delivery). Your use of those services is also governed by their own terms and privacy policies. APARA is not responsible for third-party services.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, fail to pay fees, or use the Services in a way that risks harm to APARA or other users.

Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — will survive.

10. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. APARA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APARA AND ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID APARA IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless APARA and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. You and APARA agree that any dispute arising from or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Sangamon County, Illinois, and each party consents to personal jurisdiction there.

The parties waive any right to a jury trial and to participate in a class action related to these Terms, to the maximum extent permitted by law.

14. Changes to the Services or Terms

We may update the Services, pricing, or these Terms. If we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email. Continuing to use the Services after changes take effect means you accept the updated Terms.
